HUDU Edge General Terms and Conditions

This Services Agreement (“Agreement”) is made effective by and between Your Business (“You”, “Your”, “Client”) as named in a fully executed Statement of Work, and Mauri Consulting L.L.C. (“Mauri Consulting”, “Mauri Consulting Services”, “HUDU”, “HUDU Edge”, “Us”).
- Scope of Services
1.1 HUDU will provide services as mutually agreed upon and described in detail via the Statement of Work, fully executed by both parties. All consulting and agency services provided hereunder will be referred to as “Services”. This Agreement may be used for multiple Statements of Work. Terms of this Agreement are subject to change; should any change occur, Your Business will be notified and granted the opportunity to discontinue any Statement of Work.
1.2 Statements of Work will include:
A detailed description of the Services to be rendered;
Applicable billing rates for the Services (Service Fees);
Any additional terms and conditions agreed upon by the parties.
1.3 Changes to the Statement(s) of Work will be documented through a written Change Order, outlining necessary revisions. Each Change Order shall be numbered serially and executed by both HUDU and Your Business.
1.4 Executive staff from both parties will review the status of Services, Statements of Work, Change Orders, invoices, and estimates as required. - Client Obligations
2.1 To enable HUDU to effectively complete Services, Your Business agrees to provide adequate and timely support, information, and access to necessary online accounts and facilities, as mutually agreed upon. - Service Fees & Expenses
3.1 Your Business shall be responsible for all Service Fees as identified in the applicable Statement(s) of Work and any Change Orders.
3.2 HUDU reserves the right to require up to fifty percent (50%) of total Statement of Work charges as a deposit prior to commencing services. Specific details will be outlined in the Statement(s) of Work.
3.3 Any third-party expenditures outlined in the Statement of Work may be managed by HUDU on behalf of Your Business but shall be the sole responsibility of Your Business. HUDU retains the right to invoice and receive funds for such expenditures up to fifteen (15) days in advance of incurring costs with third parties.
3.4 HUDU may invoice Your Business for Services or Fees listed in the Statement(s) of Work twice per calendar month (on or about the 1st and 15th). Any Fees or Services not listed in the Statement(s) of Work must be outlined in writing and agreed upon by both parties prior to any obligation. Unless otherwise noted and agreed upon, Your Business agrees to remit full payment to HUDU within fifteen (15) days of receiving any invoice. - Term and Termination
4.1 This Agreement shall commence as of the Agreement Date and remain in force through the completion period as agreed upon in the Statement(s) of Work and any Change Orders. This Agreement is at-will; either party may terminate the Agreement at any time, with or without cause, by providing ninety (90) days’ notice. Unless agreed upon in writing and subject to Sections 4.2 and 4.3, any Services scheduled during the ninety (90) day notice period, including Service Fees, will remain in full force under this Agreement. Upon termination, any outstanding Service Fees or other expenditures owed to HUDU will be the responsibility of Your Business. HUDU will return all documentation, equipment, or other materials provided by Your Business during the term of this Agreement. Any online shared storage accounts managed by HUDU will remain open for Your Business to review and/or extract content for up to fifteen (15) days post-termination. After this period, HUDU reserves the right to close such accounts. Should Your Business require access after this timeframe or an extension, HUDU may charge for any incurred fees and expenditures. - Fulfillment Policy
5.1 Refund Policy
No Refunds on Services
All sales are final. Due to the customized and strategic nature of our services, HUDU Edge does not offer refunds or credits once work has commenced. This includes consulting, marketing campaigns, deliverables, or digital strategy development. By engaging our services, you acknowledge and agree that you are not entitled to a refund.
5.2 Delivery Policy
Service Delivery Timelines
Services are delivered according to timelines specified in project scopes, contracts, or agreements. Deliverables may be provided through email, file-sharing platforms, or live sessions, depending on the nature of the work.
Digital Assets & Content
When applicable, digital files (e.g., documents, media assets, strategy guides) will be delivered electronically via agreed-upon channels. Delivery timeframes may vary based on the scope and complexity of each project.
5.3 Return Policy
Non-Returnable Services
All services and digital goods provided by HUDU Edge are non-returnable. Once work has begun or digital assets have been delivered, clients may not return any portion of the work for credit or exchange.
5.4 Cancellation Policy
Project Work
Clients may cancel a project before the start date without financial penalty. Once work begins, clients are obligated to pay the full amount outlined in the agreement, even if the project is canceled midway.
Retainers and Subscriptions
Ongoing service retainers may be canceled with thirty (30) days’ written notice. Services will continue through the notice period, and final billing will reflect the full retainer amount for that time.
Appointments and Meetings
Clients must provide at least twenty-four (24) hours’ notice to reschedule consultations, strategy calls, or meetings. Missed appointments without proper notice may be considered fulfilled and non-refundable. - Contact Information
